Terms of Service

By accessing or using ArkRace Cloud ("the Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Platform. These Terms apply to all users including businesses, franchise partners, and administrators. Continued use of the Platform constitutes ongoing acceptance of any updates to these Terms.

ArkRace Cloud provides a SaaS platform for automotive businesses including: • Business Portal — lead management, team tools, analytics, and customer communication • Admin Console — platform administration, KYC review, subscription management • Franchise Portal — territory management, partner onboarding, and commission tracking • AI-powered features including lead scoring, sentiment analysis, and document verification We reserve the right to modify, suspend, or discontinue any feature at any time with reasonable notice.

You must provide accurate, complete, and current information when creating an account. You are responsible for: • Maintaining the security of your login credentials • All activity that occurs under your account • Notifying us immediately of any unauthorised access ArkRace reserves the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.

Paid plans are billed in advance on a monthly or annual basis. By subscribing, you authorise us to charge your selected payment method on each renewal date. • Prices are listed in USD exclusive of applicable taxes • Annual plans are non-refundable after the first 14 days • You may cancel your subscription at any time; access continues until the end of the billing period • We reserve the right to change pricing with 30 days' notice

Your use of the Platform is also governed by our Privacy Policy. By using ArkRace, you consent to the collection and processing of data as described therein. Business data (leads, customer records, documents) uploaded to the Platform remains your property. We process it solely to provide the service and do not sell it to third parties. KYC documents are stored in encrypted, access-controlled vaults and processed only for verification purposes.

All content, software, trademarks, and technology on the Platform are owned by ArkRace Technologies, Inc. or its licensors. You retain ownership of your business data. You grant ArkRace a limited, non-exclusive licence to process your data solely to operate the Platform on your behalf. You may not reverse-engineer, copy, or redistribute any part of the Platform without express written permission.

You agree not to: • Use the Platform for any unlawful purpose • Upload malicious code, spam, or misleading content • Attempt to gain unauthorised access to other accounts or systems • Scrape, crawl, or extract data from the Platform in bulk • Resell or sublicence access without written authorisation • Circumvent any technical measures or security controls

To the maximum extent permitted by applicable law, ArkRace shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Platform. Our total liability to you for any claim shall not exceed the amounts paid by you to ArkRace in the twelve months preceding the claim. The Platform is provided "as is". We do not warrant that it will be error-free or uninterrupted, though we target 99.9% uptime.

Either party may terminate the agreement at any time. Upon termination: • Your access to the Platform will cease • Data export is available for 30 days post-termination upon request • After 30 days, your data may be permanently deleted ArkRace may terminate your account immediately for material breach of these Terms.

These Terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict of law provisions. Any disputes shall be subject to the exclusive jurisdiction of the courts of Toronto, Ontario. For international customers, mandatory local consumer protection laws may also apply.
